ASIC has recently updated its lodgement processes, allowing certain ASIC forms that were historically mail-only to now be lodged with ASIC by email. This is a welcome change towards greater efficiency and convenience for anyone who has frequently lodged hard copy forms by mail!
Of particular interest to CorpSec Services are the various share-related forms and forms for the suppression of an officeholder’s residential address, which were historically mail-only.
These can now be lodged via email at shares.lodgements@asic.gov.au or suppression@asic.gov.au, respectively.
The full list of 30 Approved Forms eligible for email lodgement — including the correct email address for each form — can be found on ASIC's website here.
Email Lodgement Requirements
When submitting forms by email, you must include:
The company name and ACN in the subject line, and
A statement confirming agreement to ASIC’s Terms and Conditions for Email Lodgement, for example, “I agree to the terms and conditions of email lodgement with ASIC as published on the ASIC website.”
ASIC sends an automated acknowledgment via email confirming the date and time of receipt.
For complex share-related transactions, such as buy-backs that require multiple conditional lodgements with ASIC before subsequent steps can proceed, this is a significant improvement over what has typically been a logistical and administrative nightmare.
Receiving an automated confirmation of lodgement does not in any way mean that the form lodged has been or will be processed or considered lodged for the purposes of the Corporations Act.
At the time of writing, the ASIC forms themselves have not yet been updated to reflect the new email lodgement option. Many still reference only hard copy mail, with some forms not updated in over 10 years.
CorpSec Services welcomes this long overdue move towards eliminating ALL hard copy ASIC lodgements. We also look forward to additional forms such as: Forms 211, 492, 488, 106, and 405 etc, being added to the approved email lodgement process. These forms still currently require hard copy submissions via mail to ASIC.
